Importly Terms of Service

Welcome to Importly! These Terms of Service (“Terms”) govern your access to and use of the Importly platform, APIs, and related services (“Services”). By using Importly, you agree to these Terms. If you do not agree, you may not use the Services.
1. Eligibility
- You must be at least 18 years old to use Importly.
- You represent that you have the authority to enter into these Terms and, if applicable, act on behalf of your company or organization.
2. Use of the Services
- License: Importly grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for lawful purposes.
- Acceptable Use: You agree not to:
- Violate any applicable laws, regulations, or third-party terms of service.
- Use Importly to download, copy, or distribute content without proper authorization or rights.
- Attempt to reverse engineer, bypass, or interfere with the operation of the Services.
- Use the Services for abusive, malicious, or exploitative purposes, including high-volume scraping or denial-of-service attempts.
 
Importly is an infrastructure tool. You are solely responsible for ensuring you have the right to access, download, or use any content processed through our Services.
3. Accounts & Security
- You must provide accurate registration information and keep your account credentials secure.
- You are responsible for all activity that occurs under your account.
- Importly may suspend or terminate accounts that violate these Terms.
4. Subscription, Credits & Payments
- Billing: Access to Importly may be offered through subscription plans, pay-as-you-go credits, or a combination of both.
- Credits: Credits may represent units for downloads, storage, transcription minutes, or concurrency levels. Unused credits may expire as stated in your plan.
- Overages: Usage beyond your plan limits may result in additional charges, billed at the then-current rates.
- No Refunds: Payments are non-refundable except where required by law.
5. Service Performance & Availability
- Importly strives for reliable performance but does not guarantee uninterrupted availability.
- Processing limits (e.g., concurrency, file size, storage duration) depend on your plan and may be enforced via queuing or throttling.
- Importly may modify or discontinue features at any time, with or without notice.
6. Content & Intellectual Property
- Your Content: You retain ownership of content you process through Importly. By using the Services, you grant us a limited license to store, process, and deliver your content solely to provide the Services.
- Temporary Storage: Imported files may be retained for a limited period (e.g., up to 7 days) for the purpose of processing, retries, or delivery. After that period, files are permanently deleted.
- Third-Party Rights: Importly does not monitor or control the content you choose to import. You are solely responsible for ensuring your use of the Services complies with all applicable copyright, licensing, and platform terms of service.
- Intellectual Property Concerns: Importly respects intellectual property rights. If you believe the Services are being misused in a way that infringes your rights, you may contact us at [Insert Legal Contact Email]. We will review and respond as appropriate, which may include suspending accounts or disabling access where necessary.
- Neutral Provider: Importly is a neutral infrastructure provider. We do not publicly share or distribute user content, and responsibility for lawful use of the Services rests with you, the user.
- Importly IP: All software, APIs, and branding associated with Importly remain our exclusive property and may not be copied, modified, or distributed without our consent.
7. Privacy & Data
Our use of personal information is governed by the Privacy Policy. By using the Services, you consent to the collection and use of your information as described there.
8. Disclaimers
- The Services are provided “as is” and “as available” without warranties of any kind.
- Importly disclaims responsibility for:
- Unauthorized or illegal use of content by users.
- Errors in third-party services or integrations.
- Loss of data due to system failures, downtime, or user actions.
 
9. Limitation of Liability
To the maximum extent permitted by law:
- Importly will not be liable for indirect, incidental, or consequential damages.
- Importly’s total liability for any claim will not exceed the amount you paid for the Services in the past 3 months.
10. Termination
- You may stop using Importly at any time.
- We may suspend or terminate your access if you violate these Terms, abuse the Services, or cause harm to Importly or others.
- Upon termination, your access to stored content may be lost.
11. Changes to Terms
We may update these Terms from time to time. Continued use of Importly after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of Massachusetts, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the courts of Massachusetts.
